Non-Cash Payment Law No. 18 of 2019

On April 16th 2019, the Egyptian government passed a law to regulate non-cash payment methods. The law entered into force the day following its issuance, and according to article 2, those addressed by the law were given a six-month period to adjust their status, calculated from the date of the implementation of the Law’s Executive Regulation.

The Executive Regulation of the Law was issued pursuant to Prime Ministerial Decree no. 1776 of 2020 and was published in the Official Gazette on September 7th 2020, to come into force the day following its date of publication.

Thereafter, the Council of Ministers agreed to extend the period for reconciliation for an additional 6 months, expiring on September 7th, 2021. Hence, the law will now be effective as of September 8, 2021.

Furthermore, the Financial Regulatory Authority (FRA) simultaneously issued a book with the requirements for the implementation of the law, whilst also clarifying the obligations resulting from its issuance, and obligating companies and entities subject to the law to speed up implementation.

Definitions as per the New Law:

  1. Non-Cash Payment Method: Any means of payment resulting in an addition to one of the beneficiary’s bank accounts, such as deposits transfers orders, debit, credit cards, and payments by mobile or other means approved by the Governor of the Central Bank of Egypt.
  1. Bank Account: A contract between a natural or legal person and a bank registered with the Central Bank or one of the entities authorized to engage in deposit or credit activity in Egypt to open an account at the bank for the purpose of recording all transactions for the payment, receipt and settlement of exchanged payments in cash or through electronic monetary units.
  1. Cash Financing: Finance provided by banks, real estate finance companies, financial leasing, microfinance companies or associations or any other party authorized to work in these fields.

The Following was Addressed by this Law:

1. All authorities and agencies of the state

2. Public legal persons

3. Companies in which the state owns all or the majority of its capital

4. Private legal persons and establishments of all types

Obligations Covered by the Law

  1. All state authorities, public legal persons and companies in which the state owns all or the majority of its capital, are obliged to pay their financial dues to members of the boards of directors committees, employees, experts and social insurance contributions through non-cash payment methods.
  1. Private legal persons and establishments of all types are obliged to pay amounts dues of their employees, experts, chairmen and members of the boards of directors and social insurance contributions through non-cash payment methods, whenever their number of employees exceeds 25 or the value of their monthly wages exceeds EGP 100.000.
  1. All state authorities and agencies, legal persons and establishments of all types are obliged to make the following payments through non-cash payment methods, whenever they exceed the below limits:

EGP 10000Amounts due as a result of purchasing or mortgaging land or vehicles 
EGP 5000/monthIn return for the purchase of land, real estate or express transportation vehicles

Penalties

The regulation imposes the following penalties:

  1. A fine no less than 2% and no more than 10% from the total amount of cash payments, with a cap of EGP 1 million. The same penalty shall be imposed on those who split the payments with the intent of defrauding to avoid applying the established limits.
  1. Penalty/fine no less than EGP 100,000 and no EGP 300,000 to those who collect an additional amount for the use of non-cash payment methods
  1. Such a fine will be duplicated in case of repetition.

Criminal Liability

Without prejudice to the criminal liability of natural persons, individuals responsible for the actual management of the legal person shall be subject to the same penalty if his/her awareness is proven, and this breach of his/her duties has contributed to the crime committed. The legal person shall be jointly responsible with the convicted person for fulfilling the financial penalties/fines and compensations imposed on him/her in this case.

Aim of the Law

This legislation is an unprecedented legislative shift to encourage and regulate the inevitable transition to the digital economy, provide a safe environment for investment, and reduce financial crimes and tax evasion.

قانون تنظيم استخدام وسائل الدفع غير النقدي رقم 18 لسنة 2019

صدرقانون تنظيم استخدام وسائل الدفع غير النقدي بتاريخ 16 ابريل 2019 و يعمل به إعتباراً من اليوم التالي لتاريخ صدوره .ووفقاً لنص المادة الثانية من القانون تم منح المخاطبين بأحكام القانون مهلة لتوفيق أوضاعهم خلال ستة أشهر من تاريخ العمل باللائحة التنفيذية .

هذا وقد صدرت اللائحة التنفيذية للقانون بموجب قرار رئيس مجلس الوزراء رقم 1776 لسنة 2020 والذي تم نشرها بالجريدة الرسمية بتاريخ 7 سبتمبر 2020 و يعمل بها من اليوم التالي لتاريخ النشر.

وقد وافق مجلس الوزراء علي مد مهلة توفيق الاوضاع المشار إليها لمدة سته أشهر اخري وتنتهي في 7 سبتمبر 2021 ويعمل بالقانون إعتباراً من 8 سبتمبر 2021.

ومن ناحية اخري أصدرت هيئة الرقابة المالية كتاب دوري بمتطلبات تطبيق القانون وتوضيح الالتزامات المترتبة علي صدوره والزام الشركات والجهات الخاضعة للهيئة بسرعة التنفيذ

  • التعريفات الواردة بالقانون
  1. وسيلة الدفع غير النقدي: كل وسيلة دفع ينتج عنها إضافة في أحد الحسابات المصرفية للمستفيد مثل أوامر الإيداع أو التحويل والخصم ،وبطاقات الائتمان والخصم ،والدفع باستخدام الهاتف المحمول،أو غيرها من الوسائل التي يقرها محافظ البنك المركزي المصري.
  2. الحساب المصرفي: عقد يتفق بمقتضاه شخص طبيعي أو إعتباري مع أحد البنوك المسجلة لدي البنك المركزي أو إحدي الجهات المصرح لها بمباشرة نشاط الإيداع او الائتمان في جمهورية مصر العربية علي فتح حساب يستخدم في قيد جميع العمليات لسداد و استلام وتسوية المدفوعات المتبادلة نقداً أو عن طريق الوحدات النقدية الإلكترونية.
  3. التمويل النقدي:التمويل المقدم من البنوك أو شركات التمويل العقاري أو التأجير التمويلي أو التخصيم أو شركات وجمعيات التمويل متناهي الصغر ، أو أي جهة أخري مصرح لها بالعمل في هذه المجالات.
  • المخاطبون بالقانون
  1. جميع سلطات وأجهزة الدوله
  2. الأشخاص الإعتبارية العامة
  3. الشركات التي تمتلك الدولة كل أو أغلبية رأسمالها
  4. الاشخاص الإعتبارية الخاصة و المنشأت بمختلف أنواعها
  • الإلتزامات المقررة بموجب القانون
  1. تلتزم جميع سلطات واجهزة الدولة و الاشخاص الإعتبارية العامة والشركات التي تمتلك الدولة كل أو أغلبية رأسمالها بأن تسدد المستحقات المالية لأعضاء مجالس الإدارات واللجان و العاملين و الخبراء واشتراكات التأمينات الإجتماعية بوسائل دفع غير نقدي
  2. تلتزم الاشخاص الإعتبارية الخاصة و المنشأت بمختلف أنواعها بسدد مستحقات العاملين بها والخبراء و رؤساء وأعضاء مجالس الإدارات و أشتركات التأمينات الإجتماعية بوسائل دفع غير نقدي وذلك متي جاوز عدد العاملين بها خمسة وعشرون عاملاً أو تجاوزت قيمة اجورهم الشهرية مائة الف جنيه.
  3. تلتزم جميع سلطات وأجهزة الدولة ، والاشخاص الإعتبارية و المنشأت بمختلف انواعها بسداد المدفوعات التالية بوسائل دفع غير نقدي متي تجاوزت الحدود المبينة قرين كل منها.

خمسة الاف جنيهمستحقات الموردين والمقاولين ومقدمي الخدمات وغيرهم من المتعاقدين التي تدفعها الاشخاص الاعتبارية الخاصة والمنشأت بمختلف أنواعها

الفي جنيهالارباح الناتجة عن المساهمة في رؤوس أموال الشركات أو صناديق الاستثمار

خمسمائة جنيهصرف الإعانات والتبرعات بواسطة الجمعيات والمؤسسات العاملة في مجال العمل الاهلي
عشرة الاف جنيهمقابل شراء الاراضي أو العقارات أو مركبات النقل السريع
خمسة الاف جنيه شهرياًمقابل الإيجار أو استغلال أو الانتفاع بالأراضي أو العقارات أو مركبات النقل السريع
  • العقوبات
  1. غرامة لا تقل عن 2% ولا تجاوز 10% من قيمة المبلغ المدفوع نقداً وبحد اقصي مليون جنيه.ويعاقب بذات العقوبة كل من قام بتجزئة المدفوعات بقصد التحايل لتفادي تطبيق الحدود المقررة.
  2. يعاقب بغرامة لا تقل عن مائة الف جنيه ولا تجاوز ثلاثمائة الف جنيه كل من قام بتحصيل مبلغ إضافي لاستخدام وسائل الدفع الغير نقدي.
  3. تضاعف الغرامات بحديها في حالة العود.
  • المسئولية الجنائية

مع عدم الإخلال بالمسئولية الجنائية للأشخاص الطبيعيين ، يعاقب المسئول عن الإدارة الفعلية للشخص الإعتباري بذات العقوبة اذا ثبت علمه بها ، وكان إخلاله بالواجبات التي تفرضها عليه تلك الإدارة قد أسهم في وقوع الجريمة .

ويكون الشخص الإعتباري مسئولاً بالتضامن مع المحكوم عليه عن الوفاء بما يحكم به من عقوبات مالية وتعويضات في هذه الحالة.

  • الهدف من القانون

يعد هذا التشريع نقلة تشريعية غير مسبوقة حيث من شأنه تشجيع وتنظيم التحول الي الاقتصاد الرقمي وتوفير مناخ امن للاستثمار والحد من الجرائم المالية والتهرب الضريبي.
