Procedural Requirements for Acceptance of an Annulment Lawsuit

A power of attorney (“POA”) is a legal document issued by a person to authorize another person to act as his/her agent and by which the latter is enabled to do or perform one or more acts on behalf of his/her principle.

Regardless of whether the document is titled a “general power of attorney for cases”, “comprehensive power of attorney”,  “private power of attorney” or ” specific power of attorney”, the name of the document is not as important as the terms within it.

Although the ‘general power of attorney for cases’ is the most widespread, it is a common misconception that this POA allows the agent to file any lawsuit, without specifying its type, including an annulment lawsuit on behalf of the principals. However, the Court of Cassation has stated that the capacity of the POA must be determined by referring to its terms, and the circumstances in which it was issued, as well as the circumstances of the case in question.

It should be emphasized that the principal’s issuance of a ‘general power of attorney for cases’ to his/her agent which includes wording permitting the agent to ‘represent the principals in all cases brought by or against him before all courts of all types and degrees, submitting and signing requests, reconciliation, and approvals etc….’, merely signifies that the POA was issued to take the necessary measures to preserve the principal’s funds or the actions, however, this does not authorize the agent to terminate contracts concluded by the principal, or waive the sentences issued in favor the principal, as these cases require a private POA.

With the above in mind, we refer below to one of the cases initiated by our office in which the Court of Cassation emphasizes the importance of referring to the terms of a POA, by ruling that a general POA for cases does not authorize an agent to seek a waiver of a right enjoyed by the principle. To summarize, it was found that the agent was not entitled to file a lawsuit terminating a contract since this right was not given explicitly through a general POA nor a private POA.

الشرط الاجرائي لقبول دعوي الفسخ

التوكيل هو المستند القانوني الذي يصدره الشخص لتفويض شخص ما اخر بالتصرف كوكيل عنه والذي يتم بموجبه تمكين الاخير بالقيام أو تنفيذ عمل أو أكثر نيابة عن وكيله.

وتختلف أنواع التوكيلات ومسمياتها بين “توكيل عام في القضايا” او “عام شامل” او “رسمي عام” او “خاص” او “عام مخصص” ولكن الحقيقة أنه لا اهمية لاسم التوكيل بقدر الأهمية للبنود الواردة في هذا التوكيل.

وحيث ان التوكيل العام في القضايا هو اكثرهم انتشاراً بين الناس فقد يختلط على الكثير ان هذا النوع من التوكيلات يبيح إقامة أي دعوي دون تحديد نوعها ومن بينها دعوي الفسخ، ولكن اسقرت محكمة النقض على ان مناط التعرف على مدى سعة الوكالة يتحدد بالرجوع إلى عبارات التوكيل ذاته وما جرت به نصوصه وإلى الملابسات التي صدر فيها التوكيل وظروف الدعوى.

فإصدار الموكل توكيل عام لوكيله في جميع القضايا التي ترفع منه أو عليه أمام جميع المحاكم على اختلاف أنواعها ودرجاتها وتقديم الطلبات والتوقيع عليها والصلح والإقرار، مفاده أن الوكالة قد انصرفت إلى اتخاذ الإجراءات اللازمة للحفاظ على أموال الموكل أو التصرفات التي أبرمها بمعرفته دون أن تخول الوكيل فسخ العقود التي أبرمها الموكل أو التنازل عن الأحكام التي صدرت لصالحه اذ تطلب هذه الدعوي وكالة خاصة

واخيراً نود ان نشير ادناه الي أحد القضايا التي باشرها مكتبنا والتي اكدت فيها محكمة النقض على أهمية الرجوع إلى عبارات التوكيل ذاته وقضت فيها ان التوكيل العام في القضايا لا يخول الوكيل طلب التنازل عن حق أبرمه الموكل، فالوكيل لا يملك الحق في رفع دعوى بفسخ عقد عن الموكل لعدم وجود توكيل خاص يبيح ذلك او نص صريح بفسخ العقود في التوكيل العام
